In plain terms. Respawn is software for taking long or short positions on the public Steam player counts of video games. Positions are not securities, deposits, or ownership interests. Every position is real ETH from a wallet only you control, deposited into the session vault on Robinhood Chain; Respawn issues no balances and holds no keys. You can lose what you commit. Respawn is not affiliated with Valve, Steam, Robinhood Markets, or any game publisher.
1. Acceptance
These Terms of Service (the "Terms") govern your use of respawn.family and the Respawn terminal, documentation, and related services (together, "Respawn" or the "Service"), operated by the Respawn team (the "Operator", "we", "us"). By creating an account, opening a position, or otherwise using the Service you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
- You must be at least 18 years old and able to form a binding contract.
- You must not be a person, or act for a person, subject to sanctions administered by the United States or the jurisdiction you use the Service from.
- You are responsible for confirming that using the Service, and any real-money trading on it, is lawful where you are. We may restrict access from any jurisdiction at any time.
- One person, one account. Additional accounts, shared accounts, and accounts operated for someone else are prohibited.
3. The Service
Respawn publishes markets on public, measurable metrics: the number of concurrent players Steam reports for listed games, expressed through the index price of each game. You may take long or short positions on that price. A position's maximum loss is its size. There is no leverage and no liquidation.
Every game trades in sessions, and every position is real ETH. A session position enters at a fresh mark, settles the move at the game's peak-hour close against a verified window of Steam observations, capped at 50 percent of size per session, and pays back to your session vault at that close. A session position cannot be closed early and does not roll; you enter the next session yourself if you want to. The published rules in the documentation and whitepaper describe the mechanics in detail and are incorporated into these Terms by reference.
Positions on Respawn are not securities, commodities contracts, swaps, deposits, loans, insurance, or ownership interests in any game, company, or in Respawn itself. Nothing on the Service is investment, financial, legal, or tax advice. Any figure shown is a measurement or a calculation, not a recommendation.
4. Accounts, the session vault, and rewards
Your account is created through your X (Twitter) identity and a wallet provisioned for you by Privy. You are responsible for the security of your X account and of any device or recovery method attached to your wallet.
Trading uses ETH you control. Respawn issues no account balance of any kind. There is no simulated, demo, or credit balance, and Respawn never grants you funds. Positions are funded only by ETH you deposit into the Respawn session vault on Robinhood Chain from your own wallet.
How the vault works. Opening a position reserves ETH from your vault for the whole session. At the session close the position settles and the result, your reserved ETH plus or minus the move up to the 50 percent cap, is paid back to your vault. A position cannot be closed early. Unreserved vault balance can be withdrawn: withdrawals carry the published delay before they can be claimed to your wallet, and you can cancel a pending withdrawal before you claim it.
Risks you accept. Blockchain transactions are irreversible. Smart contracts can contain defects. A defect, an error, or a failure of an underlying network or data source can cause partial or total loss of the ETH you deposit or commit. You accept these risks when you deposit or trade with ETH.
Season rewards are cosmetic, status, or access only. No season reward is, or will ever be, the community token, cash, or anything with cash value.
5. The shared pool and ETH trading
Respawn has built a shared liquidity pool that will act as counterparty to positions once perpetual trading turns on. The pool is locked at launch and opens only after it is seeded. When it opens, positions against the pool are collateralised with ETH on Robinhood Chain from your own wallet, settled by smart contracts, and subject to the published spread, fees, funding, exposure caps, and the pro rata haircut rule. Blockchain transactions are irreversible. Smart contracts can contain defects. You accept these risks when you deposit or trade with ETH.
Respawn never holds your private keys and never takes custody of your ETH. Your wallet is self-custodial. Losing access to your wallet, your recovery method, or your X account can mean losing access to funds, and we cannot recover them for you.
6. Settlement and voids
Sessions settle according to the published rules against Steam observations recorded by Respawn's collectors. Where a feed fails, a window cannot be verified, or a market is delisted, the published void and settlement rules apply and are your exclusive remedy. Respawn does not reverse settled results at its discretion and does not invent data to fill gaps.
7. Prohibited conduct
- Manipulating, or attempting to manipulate, a measured metric, including artificially inflating a game's player count.
- Operating multiple accounts, bots that create accounts, or accounts for others.
- Exploiting a defect in the Service or its contracts rather than reporting it.
- Interfering with the Service, its collectors, its oracle, or other users.
- Using the Service where it is unlawful, or in breach of sanctions.
- Trading on the Service as a member of the Respawn team or with non-public information about it.
We may suspend or close accounts, void positions, and remove leaderboard standings connected with prohibited conduct.
8. Fees
Fees are published in the documentation and on the Pool page and may change with notice on the Service. Session trading at launch carries no fee. Pool trading carries the open and close fees, spread, and funding published at the time you trade.
9. Public data
Respawn is public by design. Your positions, closes, results, season points, ladder standing, and the X identity linked to your account are published on the Service, including at session lock and in community feeds and leaderboards. On-chain activity is public and permanent. By opening a position you consent to this publication.
10. The community token
The community token launches alongside the platform and stands apart from the exchange. It confers no utility on Respawn, no rights, no claims, no share of fees or economics, no governance, and no ownership. It is not a season reward and never will be. Its value is speculative and it may go to zero. Creator fees earned from community token trading flow to the exchange and seed the liquidity pool; that flow runs from the token to the exchange, never the other way, and gives holders no claim on the pool or on Respawn. Nothing on the Service is an offer to sell or a solicitation to buy community token.
11. Third parties
Steam and the data it publishes belong to Valve Corporation; game names and artwork belong to their publishers and identify the games being measured. Respawn is not affiliated with, endorsed by, or sponsored by Valve, Steam, Robinhood Markets, Privy, or any game publisher. Privy, Robinhood Chain, X, and Cloudflare are independent services with their own terms. Availability of any third-party data or service is not guaranteed.
12. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service, its data, its collectors, or its contracts will be uninterrupted, timely, or error-free. Player counts are measurements of a third-party service and can be wrong, late, or missing.
13. Limitation of liability
To the fullest extent permitted by law, the Operator and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or funds, arising from or related to the Service. Our total liability for any claim relating to the Service is limited to the greater of the fees you paid to Respawn in the twelve months before the claim and one hundred US dollars. Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted.
14. Indemnity
You will defend and indemnify the Operator and its team against claims, losses, and expenses, including reasonable legal fees, arising from your use of the Service, your positions, or your breach of these Terms or the law.
15. Disputes and governing law
These Terms are governed by the laws of the State of Maine, United States, without regard to conflict of law rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Maine, and you consent to their jurisdiction. You agree to bring claims only in your individual capacity and not as part of a class or representative action. Before filing, contact us and allow thirty days to resolve the dispute.
16. Changes, suspension, termination
We may change the Service, the published rules, and these Terms. Material changes are announced on the Service or on respawn.family and take effect when posted, except that changes to settlement rules do not apply to sessions already locked. We may suspend or end the Service, a market, or your access at any time, with settlement of open positions according to the published rules. You may stop using the Service at any time.
